Effective Date and Agreement Overview

Effective Date: The earlier of (a) the date upon which the Customer first accesses the platform; or (b) the date of the “Subscription” as referenced herein.

These Terms of Service (the "Agreement") are entered into by and between AIPS, Inc. ("the Company" or “AIPS”) and the entity or person placing an order for, or accessing, any services ("Customer" or "you"). If you are accessing or using the services on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to “you” or “Customer” refer to your company.

This Agreement permits the Customer to purchase subscriptions to online software-as-a-service products designed for creating and managing AI chatbots, as well as other services provided by the Company. Additionally, the Customer may list their created AI chatbots for sale on the Company’s proprietary marketplace pursuant to purchasing a Subscription (as defined below). This document outlines the terms and conditions under which those products and services will be provided.

The term “Customer” may further refer to any entity or person that registers or subscribes to use the services provided by AIPS, Inc. This term encompasses two distinct categories: Users and Creators, as defined below:

  • (a) A “User” shall be defined as a Customer who engages with the platform primarily through the following activities:
  • a. Subscribing to utilize bots or other services available on the website, but not engaging in the creation of any such digital products;
  • b. Communicating with Creators (herein defined), bots, and other Users, and participating in community interactions;
  • c. Rating and reviewing bots and services to provide feedback and guiding community standards;
  • d. Receiving support and assistance from AIPS or directly from Creators regarding the services used;
  • (b) A “Creator” shall be defined as a Customer with all the privileges of a User, with additional capabilities and/or privileges including:
  • a. The creation of bots for either public use or private use on an invite-only basis;
  • b. The development of agents or tools that are intended for public availability;
  • c. The publishing of a bot on the platform’s proprietary marketplace, enabling transactions and interactions with other Users;
  • d. The utilization of APIs for integrating the Creator’s bots, tools, or agents into or outside of the platform;
  • e. Access to comprehensive support and documentation for advanced platform features and API usage.

The “Effective Date” of this Agreement is the date that is earlier of: (a) Customer's initial access to any Services (as defined below) through any online provisioning, registration, or order process or (b) the effective date of the first Subscription purchased by Customer, pursuant to this Agreement.

By accessing or using the Services provided by AIPS, Inc., you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the accompanying Privacy Policy. These documents constitute a legally binding agreement between you and AIPS, Inc. Your continued use of the Services indicates your acceptance of any amendments to these Terms and Policies.

AIPS reserves the right to amend, modify, or update these Terms of Service at any time without prior notice. We will endeavor to notify you of significant changes through the Services or via email. Your continued use of the Services after such changes signifies your acceptance of the revised Terms.

The parties shall act as independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship between the parties.

1. Definitions

For the purposes of this Agreement, the following terms shall have the meanings specified below:

“The Company” refers to AIPS, Inc., a Delaware corporation, with its offices located at 8 The Green, Suite 16391, Dover, DE 19901.

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the Customer, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.

"Customer Data" means any data, information, content, records, and files that the Customer uploads, submits, or otherwise transmits to or through Services, including data used to develop or operate AI chatbots.

"Documentation" means any written or electronic documentation, images, video, text, or sounds specifying the functionalities of the Services provided or made available by the Company to the Customer or its Users.

"Services" means the online marketplace platform provided by the Company, including associated offline or mobile components, as described in the Documentation. Services exclude content provided by third parties.

"Subscription" means a commitment by the Customer (User or Creator), and recurring payment to the AIPS platform in accordance therewith, to access the services provided by AIPS, Inc. This engagement includes the use of the platform’s tools and features under the terms agreed upon between the Customer and the Company. Subscriptions are obtained through an online registration or ordering process, where Customers may specify their desired access level, service options, and subscription duration (which access level(s), service option(s), and subscription duration may be altered or amended by AIPS, Inc. at any time, with or without notice, in the sole discretion of AIPS, Inc.). This may include recurring access to software-as-a-service products, additional features for bot creation and publication, and use of APIs as outlined in the respective Customer’s account settings. All Subscriptions are billed in advance and are non-refundable. If a Customer elects to terminate their Subscription mid-term, access to the services will continue until the end of the current billing cycle, but no refunds shall be issued for any unused portion of the term. Customers must submit their cancellation request via their account settings or by contacting customer support at least 48 hours prior to the start of the next billing period to avoid charges for the subsequent period. AIPS, Inc. reserves the right to terminate any Customer’s subscription at any time in the sole and absolute discretion of AIPS.

"User" means an individual who is authorized by the Customer to use the Services and has been supplied user identifications and passwords by the Customer (or by the Company at the Customer's request).

Scope of Services

2. Scope of Services

2.1 Access Grant

Subject to the terms of this Agreement, the Company grants to the Customer a non-exclusive, non-transferable, right to access and use the Services solely for its internal business operations and in accordance with the terms of this Agreement. This right is contingent upon the Customer’s compliance with this Agreement.

2.2 Service Levels

AIPS will use commercially reasonable efforts to ensure the Services are available 24/7, except for: any unavailability caused by circumstances beyond our reasonable control, including, for example, an act of God, act of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, Internet service provider failures or delays, or denial of service attacks.

2.3 Changes to Services

The Company reserves the right to make changes, updates, and improvements to the Services at any time without prior notice to the Customer.

2.4 Support Services

The Company shall provide reasonable support services to the Customer in accordance with the Company’s standard practice and the terms set forth herein. Support is available via email

or via chat by clicking on the user chat support bubble within the AIPS chat homepage.

3. Subscription and Access

3.1 Subscriptions

AIPS offers various subscription levels to access its platform and services, including but not limited to third-party vendor services. Subscriptions are billed on a recurring basis and grant access to create, train, and manage AI chatbots using selected backend LLMs such as ChatGPT, Meta, Google, etc. The details of subscription levels, fees, and the services included shall be specified on the AIPS website.

3.2 Third-Party Services

Users may opt to utilize third-party services through AIPS's platform. AIPS will facilitate these interactions (or the charges therefor) but is not responsible for the performance or liabilities of third-party services.

3.3 Account Creation

To access certain features of the Services, you must register and create an account. During registration, you agree to provide accurate, current, and complete information and to update this information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify AIPS, Inc. immediately of any unauthorized use of your account or any other breach of security.

3.4 Prohibited Uses

You agree not to use the Services:

  • (a) In any way that violates any applicable national or international law or regulation.
  • (b) For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • (c) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
  • (d) To impersonate or attempt to impersonate AIPS, Inc., a AIPS employee, another user, or any other person or entity.
  • (e) In any manner that aids, facilitates, or involves money laundering or other financial crimes.
  • (f) In any way that violates the terms of service of AIPS, Inc. or those of our technological integration partners, including but not limited to ChatGPT, Gemini, Claude, and Stripe.   • (g) In any way that causes, or could reasonably be expected to cause, damage to AIPS, Inc., its service infrastructure, reputation, or operations.
  • (h) In any manner that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
  • (i) In violation of export control or sanctions laws of the United States or any other applicable country.
  • (j) To upload, download, display, perform, transmit, or otherwise distribute any content that is libelous, defamatory, obscene, pornographic, abusive, or threatening; advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or foreign law or regulation; or advertises or otherwise solicits funds or is a solicitation for goods or services.
3.5 Enhancements

AIPS may from time to time provide enhancements or improvements to the features/functionality of the Services, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates").

4. Bot Creation, Publication, and Monetization

4.1 Bot Creation

Users can create AI chatbots for private or public use. For private use, the bot remains solely accessible to the user within the limits of their subscription.

4.2 Publication and Monetization

Users may publish their bots, agents, tools, and other inventions on the AIPS marketplace to be accessed or used by other users, as such publications may be facilitated or made available by AIPS from time to time in AIPS sole discretion. Publishing may require an upgrade to a higher subscription tier. AIPS handles all aspects of the transaction and distribution on its marketplace, including payment processing through Stripe.

4.3 Revenue Sharing

Details regarding fees charged by AIPS based on specific percentages per transaction will be clearly outlined in the user’s account settings and the AIPS website or in communications from or with AIPS.

5. Data Ownership

5.1 Ownership of Data

Creators shall retain ownership of all data they input into AIPS for the purpose of training their bots, as well as the bots themselves. However, by using the Services, Creators agree to grant AIPS a non-exclusive, non-rescindable license in perpetuity to use, modify, perform, display, distribute, and otherwise exploit the bots and any data provided with them, in any form, for the purposes of operating, improving, and promoting the Services, and developing new ones. AIPS claims no ownership rights over the user-generated content or bots but requires this license to provide and enhance the Services. Additionally, Creators grant AIPS the right to monetize the bots and related data through the Services without further compensation to the Creators. This monetization may include, but is not limited to, featuring the bots within the Services, using them in promotional campaigns, and integrating them with third-party services and platforms. While AIPS does not claim any ownership rights in the bots themselves, the perpetual license ensures AIPS can utilize these bots to enhance the Services and the platform.

5.2 Intellectual Property Rights

Without limiting the foregoing, and as further defined below, AIPS retains all intellectual property rights in the Services and the underlying technology, except for user-provided data. Bot Creators grant AIPS a worldwide, irrevocable, non-exclusive, royalty-free license to use, exploit, reproduce, adapt, modify, and display content created on the platform in any way that AIPS wishes, in its sole and absolute discretion, including, without limitation, for the purpose of operating, providing, and improving the Services. Bot creators ("Indemnitors") shall indemnify, defend, and hold harmless AIPS, its affiliates, officers, agents, employees, and permitted successors and assigns against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorney fees arising out, resulting from, or relating to any claim of intellectual property infringement or misappropriation related to the content or technology provided by the Indemnitors under this Agreement. The Bot Creators represent and warrant that: (a) they have the legal right and authority to enter into this Agreement and perform their obligations hereunder; (b) the content provided by them and its use by AIPS as authorized under this Agreement does not and will not infringe or misappropriate any third party's intellectual property or proprietary rights; and (c) they have obtained all necessary rights, licenses, consents, and permissions required to grant the licenses and rights provided for in this Agreement and for the lawful use and transmission of any personal data or information required for the operation and provision of the Services.

6. Risk Management and Legal Compliance

6.1 Compliance with Laws

Users must ensure that their use of AIPS’s services complies with all applicable laws and regulations, including international privacy laws and regulations.

6.2 Stripe Transactions

AIPS uses Stripe to handle payments and financial transactions on the marketplace. Users must adhere to Stripe’s terms of service and ensure that their transactions are legitimate and free from fraud.

6.3 Indemnification

Customers agree to indemnify, defend, and hold harmless AIPS (including its officers, directors, employees, agents, affiliates, licensors, and suppliers) from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or related to: (a) any breach of this Agreement by the Customer; (b) the Customer’s violation of any law or the rights of a third party; (c) the use or misuse of the Services by the Customer or any person using the Customer’s account; (d) any content or data provided or submitted by the Customer; or (e) any negligence or willful misconduct of the Customer. AIPS reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Customer, in which event the Customer will cooperate with AIPS in asserting any available defenses.

7. Privacy and Data Protection

7.1 Privacy Policy

AIPS is committed to protecting the privacy and security of its users’ data. Detailed information about data collection, use, and sharing is available in the AIPS Privacy Policy, which is incorporated by reference into this Agreement.

7.2 International Compliance

AIPS will comply with international data protection laws relevant to its operations and services. Users are responsible for ensuring that their use of the Services complies with laws applicable to them.

8. Termination and Suspension

8.1 Termination by User

Users may terminate their subscription at any time through their account management page. Termination will take effect at the end of the paid subscription period.

8.2 Termination by AIPS

AIPS reserves the right to terminate or suspend a user’s account and access to the Services if the user violates any terms of this Agreement, engages in illegal activities, or if continued use of the Services by the user is deemed by AIPS to pose a risk to the platform or other users.

8.3 Effects of Termination

Upon termination, all rights and licenses granted to the user will cease, and the user must cease all use of the Services. AIPS may delete any data associated with the user’s account after a reasonable period.

9. Dispute Resolution

9.1 Informal Resolution

Before filing any claim, the parties agree to attempt to resolve the dispute informally through communication for at least thirty (30) days.

9.2 Binding Arbitration

In the event of a dispute arising under or relating to this Agreement, the parties agree to first attempt to resolve the dispute through informal negotiations for at least thirty (30) days before initiating arbitration. If the dispute cannot be resolved informally, it shall be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in the State of Delaware by a single arbitrator mutually agreed upon by the parties. The arbitrator's decision shall be final and binding, and no party shall have rights to appeal such decision on any grounds except for a claim of fraud or error on the face of the award. The prevailing party in any arbitration or legal proceeding related to this agreement shall be entitled to recover its reasonable attorneys' fees and costs. Judgment on the arbitration award may be entered in any court having jurisdiction over the matter. The parties agree that the arbitration shall be kept confidential to maintain the privacy of the proceedings.

9.3 No Class Actions

Users may only resolve disputes with AIPS on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. By agreeing to these terms, users expressly waive any right to participate in class actions or class arbitrations against AIPS.

10. General Provisions

10.1 Modifications to the Agreement

AIPS reserves the right to modify this Agreement at any time. Users will be notified of any changes and continued use of the Services after any such changes shall constitute the user’s consent to such changes.

10.2 Severability

If any part of this Agreement is held to be invalid or unenforceable, the remaining portions will remain in full force and effect.

10.3 Waiver

Failure by AIPS to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

10.4 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws rules.

10.5 Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes and replaces any prior agreements and understandings between the parties regarding such subject matter.

11. Data Processing and Compliance

As set forth in the Privacy Policy for AIPS, Inc., elsewhere published on the platform.

12. Intellectual Property Rights

12.1 Ownership of Services and Technology

AIPS retains all rights, titles, and interests in and to the Services, including any software, documents, configurations, and technology provided as part of the Services. This includes all intellectual property rights inherent in the foregoing. Except for the rights expressly granted in this Agreement, no other rights are granted, either express or implied, to the Customer.

12.2 User-Generated Content

Customers retain ownership of any original content they create, upload, or share through the Services ("User Content"). However, by uploading User Content to the AIPS platform, the Customer grants AIPS an irrevocable, worldwide, royalty-free, non-exclusive license to use, exploit, reproduce, adapt, modify, publish, and display this content, in any way that AIPS wishes in its sole and absolute discretion, including, but not limited to, as necessary to operate, maintain, and improve the Services.

12.3 Feedback and Suggestions

Any feedback, comments, or suggestions you may provide regarding AIPS, or the Services is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you. By submitting feedback, you grant AIPS a perpetual, irrevocable, non-exclusive, royalty-free license to incorporate and use your feedback for any purpose.

12.4 Third-Party Components

The Services may include components from third parties or utilize third-party software that is subject to open source and third-party license terms. You acknowledge that your use of these components is subject to the terms and conditions of these third-party licenses.

12.5 Prohibitions on Intellectual Property Use

You may not use, copy, modify, or distribute the Services (electronically or otherwise), or any copies, adaptations, or derivative works thereof, except as expressly authorized in this Agreement. You may not reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services under any circumstances or for any reason.

12.6 Protection and Enforcement

AIPS will take all reasonable legal and technical measures to protect its intellectual property rights related to the Services. Any unauthorized use, reproduction, or distribution of the Services or related content is prohibited and may be prosecuted to the fullest extent of the law.

13. API Usage

13.1 API Access

AIPS provides access to various application programming interfaces (APIs) to facilitate automated interactions with its Services. Customers who are granted API access must adhere to the terms and conditions of this Agreement, including, without limitation, payment of any and all subscription fees as specified by AIPS in its sole and absolute discretion, as well as any additional policies and guidelines AIPS may provide.

13.2 API Restrictions

Customers may not use AIPS APIs in a manner that exceeds reasonable request volumes, constitutes excessive or abusive usage, or otherwise fails to comply or is inconsistent with any part of the API documentation or guidelines provided by AIPS. AIPS reserves the right to throttle or block customers who are found to be in violation of these usage policies.

13.3 API Modifications

AIPS reserves the right to modify or discontinue, temporarily or permanently, any features of the APIs upon notice to customers, which may be provided through the customer's account dashboard or via email. AIPS will make reasonable efforts to maintain the compatibility of the API with previous versions but does not guarantee backward compatibility.

13.4 API Security

Customers are responsible for maintaining the security of their API keys and any other credentials related to API access. Sharing of API keys is strictly prohibited and may result in termination of API access. Any misuse of API credentials or violation of the AIPS security guidelines will result in immediate account suspension or termination.

13.5 Intellectual Property

Customers agree that AIPS retains all intellectual property rights in the APIs, including any documentation, data formats, and other materials provided or available as part of the API services. Any unauthorized use of these materials is strictly prohibited.

13.6 Liability and Usage Risks

AIPS shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use of the APIs, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if AIPS has been advised of the possibility of such damages).

AIPS, Inc.'s aggregate liability arising out of or related to this agreement will not exceed the total amounts paid by you to AIPS, Inc. during the twelve months preceding the last event giving rise to liability.

13.7 Warranty Disclaimer

Except as expressly provided herein, the Services are provided "as is" and AIPS expressly disclaims any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.

14. Modifications to the Agreement

14.1 Right to Modify

AIPS reserves the right to modify, amend, or change the Terms of Service at any time. Notice of any changes will be given by posting the updated Terms of Service on our website and/or by sending an email to the registered email address of each customer.

14.2 Acceptance of Changes

Continued use of the Services after any such changes shall constitute your consent to such changes. Customers are encouraged to frequently review the Terms of Service to ensure they understand the most current version of the terms governing their use of the Services.

14.3 Documenting Changes

Any modifications made to the Agreement will be documented with a change date noted at the beginning of this document. This date will reflect the most recent update and will serve as a reference point for when the latest modifications were applied.

14.4 Objections to Changes

If you object to any such changes, your sole recourse shall be to cease using the Services. Continued use of the Services following notice of any such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
